Description

What is the aim of this course?

One of the projects you will participate during your work in management consulting is the Due Diligence Project. They usually are part either of Merger and Acquisition (M&A) attempts of big firms or are generated by Private Equity (PE) and Venture Capital (VC) funds that are looking for opportunities to invest in new businesses. Those projects are very intensive, short and will enable you to learn in-depth the industries and companies you will be analyzing. There are also very difficult as you have to understand very fast the challenges in a specific industry, the competitive landscape and to evaluate how much is the target business worth. Management Consultants and Business Analysts are usually responsible only for a part of the Due Diligence called the Commercial Due Diligence. In this course I will show you how to deliver such projects fast and efficiently. In the course you will learn the following things:

How to prepare for the project to make your customer and your team happy as well to finish the project much earlier than your competitors

How to create value for your customer (Private Equity, Strategic Investors, VC, etc.)

How to deliver the project within the budget and way ahead of deadlines

Which research methods to use

How to structure and create a presentation summarizing Commercial Due Diligence

How to talk with the potential investors

The course is based on my 14 years of experience as a consultant in top consulting companies and as a Board Member responsible for strategy, performance improvement and turn-arounds in biggest companies from Retail, FMCG, SMG, B2B and services sector that I worked for. I have carried over 40 different Commercial Due Diligence for PE, VC, strategic investors and have participated in supervision of acquired companies. On the basis of what you will find in this course I have trained over 100 consultants, business analysts and managers who now are Partners in PE and VC funds, Investment Directors and Business Analysts in PE and VC, Operational Directors, COO, CRO, CEO, Directors in Consulting Companies, Board Members etc.

I teach through cases, so you will have a lot of lectures showing examples of analyses, tools and end-products of Commercial Due Diligence. To make the course more realistic and applicable we will go over a Commercial Due Diligence for a company from the retail sector. To every lecture you will find attached (in additional resources) the Excels as well as additional presentations, materials shown in the lecture so as a part of this course you will also get a library of ready-made analyses that can, with certain modification, be applied by you in your work.



Why I decided to create this course?

Commercial Due Diligence is one of the most demanding type of projects as you have to in short time understand the industry and the target company as well as to provide to the customer (PE, VC, strategic investor) some guidance on whether the firm should be bought or not. Those type of project can build your career and provide you with nice flow of interesting projects or can tarnish your relationship with you customer. By giving you exposure to real life cases and analyses I want to improve your skills in researching and analyzing potential target firms during a Commercial Due Diligence project. Thanks to this course, you will know what and how to do during a Due Diligence Project to deliver ahead of deadlines high quality products.

To sum it up, the course will help you become an expert in Commercial Due Diligence Projects. That is why, I highly recommend this course not only to Consultants or Business Analysts that have to advice their customer but also to Investment Directors working for PE, VS as well as owners, founders of businesses that consider selling their business at some stage.

How the course is organized?

The course is divided currently in 14 sections and I will be adding new sections to address other important issues. Currently you will find the following sections:

Introduction. We begin with little intro into the course as well as some general info about how the course is organized

What is a Due Diligence? In the second section I will discuss what is a Due Diligence projects, what are the main parts of this sort of projects, how long does a Due Diligence project take and what kind of questions you want to answer. We will also discuss briefly the target company we will use to show you an example of Due Diligence project

Financial Model Template. In this section will discuss how you should create the financial model you will be using during the Commercial Due Diligence Project. I will show you this using examples from retail. We will also discuss the financial model template we have created to analyze the target firm

Power Point Template. In the 4th section I will discuss the next step in Commercial Due Diligence � the template for the Commercial Due Diligence. We will go through the template we have create for our target company

Requesting Data from the Target Company. In this section I will discuss how and when you should request data from the target company. I will show you also some examples of data requests that you can send to the Target Company

Independent Data Gathering � General remarks and rough estimation. In this section I will discuss the first stage in data gathering � getting rough estimation. Rough estimation enable you to charge the importance of certain data and proceed accordingly on later stages of independent data gathering

Independent Data Gathering � Market size estimation and General Data. In this section I will show you which sources you can use to estimate the market size

Independent Data Gathering � Analyzing competition. In this section I will show you which methods, tools and sources you can use to analyze the competition. There will also some practical examples along with results

Consumer / Market Research. In some cases as a part of the Commercial Due Diligence you will have to carry out consumer / market research. I will discuss briefly here what things you can consider

Filling in Templates. In this section I will discuss how the templates should be filled in and how the production process of the Commercial Due Diligence Presentation looks like

Power Point � end result. We finally get to the point of having end-products ready for the discussion with the customer (PE, VC, the strategic investor). In this section I will show you how the Power Point presentation looks like for the Target Company.

Financial model � end result. In this section I will show you how the financial model looks like for the Target Company. We will use real data where we can. Since we don�t have some of the internal data we will use a lot of estimations and guesses to show you how to interpret the model

Discussion of the results. Once you have produced the end-results (power point presentation and the financial model in Excel) you can discuss it with the customer (PE, VC, the strategic investor). I will show you how to do it
